1. Agreement and Acceptance

These Terms of Service (the “Terms”) constitute a legally binding agreement between you and Zing Inc. (“Zing,” “we,” “our,” or “us”), a corporation incorporated under the laws of Ontario, Canada, governing your access to and use of the Zing application, website, progressive web application, mobile applications, and related technology platform (collectively, the “Zing Platform”).

PLATFORM. 

By creating an account, accessing, or using the Zing Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. IF YOU DO NOT AGREE WITH THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE ZING PLATFORM AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms may be posted on the Zing Platform and are incorporated by reference. Our collection and use of personal information is governed by our Privacy Policy, available at zingwithus.com/privacy, which is incorporated by reference. We reserve the right to modify these Terms at any time, and any changes will be reflected by updating the last updated date. It’s your responsibility to review these Terms periodically. By continuing to use the Zing Platform after changes are posted, you accept the updated terms.

2. The Zing Platform

2.1 Description of the Platform

The Zing Platform is a two-sided workforce optimization marketplace for the restaurant and hospitality industry. It connects hospitality businesses (“Spots”) seeking qualified shift workers with hospitality professionals (“Teammates”) seeking flexible shift-based work opportunities. The platform facilitates matching based on skills, verified profiles, mutual ratings, location, and preferences.

2.2 What Zing Is Not

YOU ACKNOWLEDGE AND AGREE THAT ZING IS A TECHNOLOGY MARKETPLACE AND DOES NOT PROVIDE EMPLOYMENT SERVICES. ZING IS NOT AN EMPLOYER OF RECORD, A STAFFING AGENCY, A TEMPORARY HELP AGENCY, NOR AN ORGANIZATION OR AGENCY SIMILAR TO SUCH. ZING FACILITATES PAYMENTS BETWEEN SPOTS AND TEAMMATES AS A PAYMENT FACILITATOR, NOT AS A PAYROLL PROVIDER OR EMPLOYER. Teammates work at a Spot, not for Zing. Zing does not direct or supervise work, does not set Teammates’ schedules (Teammates choose which shifts to accept or decline), and does not provide tools or equipment.

2.3 User Types

The Zing Platform serves two types of users:

Spots and Teammates are collectively referred to as “Users.” Each User must create a single

User account. Zing reserves the right to deactivate duplicate accounts.

2.4 Matching and Mutual Choice

Zing facilitates matching between Spots and Teammates based on factors including skills, Zings Rating, location, availability, preferences, and platform activity. Both Spots and Teammates retain the right to accept or decline any match to fill a shift. Each shift arrangement constitutes a separate service agreement between the Spot and the Teammate. While Zing facilitates payment processing and invoicing as described in Section 6, the service relationship during a shift is between the Spot and the Teammate.

2.5 Workplace Safety Insurance

Zing does not provide workplace safety insurance, workers’ compensation, or workplace injury coverage for Teammates during platform-facilitated shifts. You acknowledge that Zing does not provide workers’ compensation or workplace injury insurance and you are encouraged to make your own arrangements for insurance coverage.

3. Relationship with Zing

4.1 Eligibility

The Zing Platform is available only to individuals who are at least 18 years of age and can form legally binding contracts under applicable law. By creating an account, you represent and warrant that you meet these requirements.

By registering as a Teammate, you represent and warrant that:

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You may not allow other persons to use your account. Notify us immediately at hello@zingwithus.com if you suspect unauthorized access.

5. ZingCard, Ratings, and Reviews

5.1 The ZingCard

Each Teammate’s ZingCard is a profile on the Zing Platform that contains information provided during onboarding and data generated through platform activity. The ZingCard is visible to authenticated Spot Users and may be shared via a unique URL at the Teammate’s discretion. By creating a ZingCard, you consent to the display of your profile information on the Zing Platform for the purpose of shift matching.

5.2 The Zings Rating

Teammates receive a Zings Rating, a proprietary composite score generated from post-shift reviews by Spots which assess Teammate performance across six dimensions and reliability indicators. The Zings Rating uses five levels: Rookie, Rising Star, Pro, All-Star, GOAT. The Zings Rating directly affects a Teammate’s visibility and matching priority on the platform.

By using the Zing Platform, Teammates acknowledge and accept that:

5.3 Assessment Dimensions

The Zings Rating incorporates scoring across six dimensions: Technical Skill, Presentation, Smile/Warmth, Communication, Motivation, and Adaptability.

Technical Skill: This dimension evaluates role-specific competence, including knowledge of service steps, food and beverage preparation, equipment operation, and applicable safety and hygiene standards. Technical Skill is assessed based on the Teammate’s demonstrated ability to perform the duties of the applicable role.

Presentation: This dimension evaluates professional appearance as relevant to the hospitality service environment. Presentation standards are defined by reference to workplace-appropriate grooming and attire as specified by the Spot for the applicable role. Zing does not impose appearance requirements related to natural hair texture, cultural or religious dress, or other attributes protected under applicable human rights legislation. Spots are responsible for ensuring their presentation standards comply with applicable law.

Smile/Warmth: This dimension evaluates friendliness and approachability as observed through facial expressions and demeanour. Zing defines Smile/Warmth by reference to observable hospitality behaviours (greeting guests, eye contact, attentiveness) rather than conformity to any particular standard of facial expression.

Communication: This dimension evaluates clarity of expression and listening ability. Communication is assessed on the content and quality of a Teammate’s verbal expression, not on accent, speech patterns, fluency, or linguistic background.

Motivation: This dimension evaluates enthusiasm, initiative, and reliability. Motivation is assessed based on observable behaviours such as willingness to take on tasks, proactive problem-solving, and consistency of effort throughout the shift.

Adaptability: This dimension evaluates a Teammate’s ability to handle change, work effectively in unfamiliar environments, and respond to unexpected situations during shift work. Adaptability is assessed based on observable responses to new settings, varied service demands, and shifting priorities not on familiarity with any particular workplace culture or national work environment.

5.4 Post-Shift Reviews

Both Teammates and Spots may provide post-shift reviews on the Zing Platform. Reviews should be honest, accurate, and based on the actual shift experience. Zing reserves the right to remove reviews that violate these Terms, contain discriminatory content, or are determined to be fraudulent.

5.5 Reliability Events

Zing records reliability events including late clock-ins, no-shows, early departures, and last-minute cancellations. These reliability events are reflected on the Teammate’s profile and may affect their Zings Rating and matching priority. Teammates are notified when a reliability event is recorded and may dispute it through the process described in Section 5.6.

5.6 Rating and Reliability Event Dispute Process

Teammates may dispute any element of their Zings Rating or any recorded reliability event by submitting a dispute through the Zing Platform or by contacting Zing at hello@zingwithus.com.

Submission: The Teammate must identify the specific rating element or reliability event being disputed and provide a brief explanation of why the Teammate believes it is inaccurate. Disputes must be submitted within thirty (30) days of the rating update or reliability event being recorded.

Review: Zing will review the dispute within ten (10) business days of receipt. Where the dispute involves a Spot’s post-shift review, Zing may contact the Spot for clarification which may involve disclosing the Teammate’s identity to the Spot.

Resolution: Zing will notify the Teammate of the outcome within ten (10) business days of completing our review. If the dispute is upheld, Zing will correct the Teammate’s record and recalculate the Zings Rating accordingly. If the dispute is not upheld, the Teammate will be informed of such.

5.7 Spot Ratings

Spots receive an aggregate rating based on Teammate post-shift reviews. This rating is visible to Teammates when browsing available shifts. Spots acknowledge that their rating reflects the experiences reported by Teammates and that Zing does not control, and is not responsible for reviewing, the reviews.

6. Charges, Payments, and Financial Terms

6.1 Spot Charges

For each completed shift arranged through the Zing Platform, Zing issues a single invoice to the Spot covering the full cost of the service. Each invoice includes: (a) the Teammate’s shift fee at the applicable rate; (b) Zing’s service commission; and (c) applicable HST on the total amount. Zing collects HST on the full invoiced amount and remits it to the Canada Revenue Agency through Zing’s GST/HST return.

The default billing method is per-shift: each completed shift is charged to the Spot’s credit card on file upon shift completion. Zing may, at its discretion, offer alternative billing arrangements such as consolidated weekly invoicing, subject to a separate written agreement between the Spot and Zing governing payment terms.

Shift rates are subject to a platform minimum rate established by Zing. Spots may set their own rates at or above this minimum. The applicable rate for each shift is displayed to both the Spot and the Teammate before the shift is confirmed.

Zing reserves the right to modify pricing, commission rates, and minimum rates with prior notice.

6.2 Teammate Payments

Zing facilitates payment to Teammates for completed shifts as part of its platform service. Teammates provide their services to Spots, not to Zing. Zing’s role in processing Teammate payments is that of a payment facilitator and does not create an employment relationship between Zing and the Teammate.

For each completed shift, Zing disburses the Teammate’s shift fee through the platform’s payment processing service. A payment processing fee is deducted from each shift payment. The current payment processing fee is $2.00 plus applicable HST per completed shift. Zing reserves the right to modify the payment processing fee with prior notice to Teammates.

Teammates may select their preferred payment frequency through the Zing Platform. Available options may include daily, weekly, or other frequencies as offered by Zing from time to time.

Zing will make reasonable efforts to process payments within the selected frequency, subject to the availability of the payment processing service.

Zing will provide Teammates with access to an earnings summary through the Zing Platform, including shift-level detail and year-end totals, to assist Teammates in tracking income for tax reporting purposes. This earnings summary does not include tips, and is provided for informational purposes only and does not constitute tax advice.

Zing may also process payments to Teammates for Community Pool distributions, referral bonuses, or other platform-specific payments, which are separate from shift compensation.

6.3 Payment Processing

All payments between Zing, Spots, and Teammates are facilitated through Stripe and Stripe Connect, or such other third-party payment processing service Zing may designate from time to time. By using the Zing Platform, you agree to be bound by the applicable terms of the payment processor in addition to these Terms. Zing may change its payment processor without notice. With the exception of tips, all platform-related payments must be processed through the Zing Platform. Cash payments for services are prohibited.

6.4 Tips

Spots and their guests may elect to tip Teammates. Tips provided through the Zing Platform are passed entirely to the Teammate. Zing does not take any portion of tips.

6.5 Taxes

Zing charges and collects HST on the full amount invoiced to Spots (including both the Teammate shift fee and Zing’s service commission) and remits all collected HST to the Canada Revenue Agency through Zing’s GST/HST return. Teammates are not required to collect or remit HST on shift fees processed through the Zing Platform, as Zing handles HST collection and remittance on the invoiced service.

Teammates are solely responsible for reporting all income received through the Zing Platform as self-employment income on their personal tax returns, including filing a T2125 (Statement of Business or Professional Activities) or equivalent. As Teammates are independent service providers and not employees of either Zing or the Spot, no party has employer-side withholding or remittance obligations (including CPP, EI, or income tax withholding) in respect of shift compensation.

Teammates whose total self-employment revenue (from all sources, not limited to the Zing Platform) exceeds $30,000 in any four consecutive calendar quarters may be required to register for a GST/HST number under the Excise Tax Act. Zing does not provide tax advice and Teammates are encouraged to consult a qualified tax professional regarding their individual obligations.

Zing will issue tax documentation (e.g., T4A) where required by law for platform-specific payments such as Community Pool distributions and referral bonuses.

7. Cancellation and Minimum Payment Policy

Zing is committed to fairness for both Spots and Teammates. The following cancellation policies apply to shifts arranged through the Zing Platform. These are Zing’s platform policies, not employment law obligations, and are designed to ensure predictability and fair treatment for all parties.

7.1 Spot Cancellations

7.1.1 Cancellation More Than 48 Hours Before Shift Start

Spots may cancel a confirmed shift more than 48 hours before the scheduled start time without penalty. The Teammate will be notified immediately and the shift will be removed from their schedule.

7.1.2 Cancellation Within 48 Hours of Shift Start

If a Spot cancels a confirmed shift within 48 hours of the scheduled start time, Zing will charge the Spot a cancellation fee equal to the greater of:

If a Spot releases a Teammate before the scheduled end of a shift (i.e., the Spot no longer needs the Teammate after the Teammate has arrived and begun work), the following applies:

This minimum payment policy ensures Teammates are fairly compensated for making themselves available and committing their time.

7.2 Teammate Cancellations

7.2.1 Cancellation More Than 24 Hours Before Shift Start

Teammates may cancel a confirmed shift more than 24 hours before the scheduled start time without penalty. The Spot will be notified immediately and Zing will attempt to find a replacement.

7.2.2 Cancellation Within 24 Hours of Shift Start

Cancellations by Teammates within 24 hours of the scheduled shift start will be recorded as a reliability event on the Teammate’s profile and may affect their Zings Rating and matching priority. Repeated late cancellations may result in reduced visibility on the platform or, in severe cases, account suspension.

7.2.3 No-Shows

If a Teammate fails to appear for a confirmed shift without prior cancellation, this will be recorded as a no-show reliability event. No-shows are the most serious reliability event and will significantly affect the Teammate’s Zings Rating and platform standing. Repeated no-shows may result in account deactivation at our discretion.

7.3 Disputes

Either party may dispute a cancellation or cancellation charge by contacting Zing at hello@zingwithus.com within 48 hours of the event. Zing will review the circumstances and make a determination at its reasonable discretion.

8. Community Programs

8.1 Referral Programs

Zing operates referral programs for both Teammates and Spots. Referral bonuses are paid according to the program terms published on the platform. Referral bonuses may constitute taxable income for recipients. Program terms, bonus amounts, and eligibility criteria may be modified at any time with notice.

9. Intellectual Property

9.1 Zing’s Intellectual Property

The Zing Platform and all of its parts, including all software, algorithms, assessment models, matching logic, the Zings Rating system, the ZingCard framework, brand elements (including the Zing name, logo, Zings star symbol, and Community Stars branding), and all related intellectual property, are and shall remain the exclusive property of Zing Inc. or its licensors. These Terms do not grant you any rights to Zing’s intellectual property except the limited license to use the platform as described herein.

9.2 User Content

By submitting content to us via the Zing Platform or otherwise, you grant Zing a non-exclusive, worldwide, irrevocable, royalty-free, transferable, sub-licensable license to use, copy, display, and distribute such content in connection with the Zing Platform and our services. This license continues after account deletion for content that has been incorporated into aggregate or de-identified datasets.

9.3 Feedback

Any feedback, suggestions, or ideas you provide to Zing about the platform become the property of Zing and may be used without obligation or compensation to you.

9.4 Restrictions

You may not: (a) copy, reproduce, modify, adapt, translate, distribute, or create derivative works of the Zing Platform, in whole or in part; (b) reverse engineer, decompile, decode, disassemble, or otherwise attempt to discover, derive, or gain access to any software component of the Zing Platform, in whole or in part; (c) scrape, index, or data mine the Zing Platform or its content, in whole or in part; (d) use the Zing Platform to build a competing product or service; (e) remove any copyright, trademark, or proprietary notices; (f) attempt to gain unauthorized access to the Zing Platform, or any part thereof, or its systems; (g) unbundle the component parts of the Zing Platform for use on different systems or for distribution, transfer, or sale; (h) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer or otherwise make available the Zing Platform to any person; (i) use the Zing Platform in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law or regulation; (j) incorporate the Zing Platform or any portion thereof, in whole or in part, into any other materials, products, or services; (k) transmit to or through the Zing Platform any material containing software, viruses, spyware, or other harmful or deleterious computer code, routines, files, scripts, agents, or programs that may damage, intercept, or expropriate any data or system; (l) interfere with or disrupt the integrity or performance of the Zing Platform, or the data contained therein; (m) allow any third party to use any user identification(s) or password(s) to access the Zing Platform; or (n) use any information obtained from the Zing Platform to harass, abuse or harm any person.

10. Confidentiality

You agree not to disclose or use any Confidential Information without our prior written consent. “Confidential Information” means all information provided by Zing to you that is designated as “Confidential” or that a reasonable person would infer to be confidential in the circumstances. Confidential Information includes all data that is available to you through or as a result of the Zing Platform, including information about other Users. If you are compelled by law to disclose any Confidential Information, you shall give us prior notice of such compelled disclosure (to the extent legally permitted) and reasonable assistance and cooperation, if we wish to contest the disclosure. Your confidentiality obligations shall survive for a period of three (3) years following termination of your account on the Zing Platform, except with respect to Confidential Information that constitutes a trade secret under applicable law, in which case your confidentiality obligations shall continue for so long as such information remains a trade secret.

11. Disclaimers

THE FOLLOWING DISCLAIMERS ARE MADE ON BEHALF OF ZING, ITS AFFILIATES, CO-FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS.

Zing does not provide employment services. Zing is not an employer of record, a staffing agency, or a temporary help agency. It is the Teammate’s decision whether to accept a shift, and the Spot’s decision whether to engage a Teammate. Zing cannot guarantee the quality, safety, or legality of shift work, the qualifications of Teammates, or the accuracy of information provided by any User.

THE ZING PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS

WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by law, Zing disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Zing is not responsible for: the conduct of any User (online or offline); personal injury, property damage, or losses arising from shift work; the accuracy of User-provided information; disputes between Spots and Teammates; or any User’s failure to comply with applicable laws.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZING, ITS CO-FOUNDERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE ZING PLATFORM, THE SERVICES, OR THESE TERMS, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY, EVEN IF ZING HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ZING’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE ZING PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID BY YOU TO ZING IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Zing, its co-founders, affiliates, officers, directors, employees, and agents from and against any claims, actions, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Zing Platform; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party; (d) your provision or receipt of shift work through the Zing Platform; (e) any dispute between you and another User; (f) any misrepresentation regarding your work authorization, qualifications, or eligibility; or (g) your negligence or willful misconduct.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal proceedings against us, you agree to first contact us at hello@zingwithus.com to attempt to resolve the dispute. We will work in good faith to attempt to resolve the dispute within thirty (30) days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.3 Jurisdiction

Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Toronto.

14.4 Waiver of Class Proceedings

To the extent permitted by law, you agree to resolve any dispute with Zing on an individual basis and waive any right to participate in a class action, class arbitration, or other representative proceeding.

15. Term and Termination

15.1 Term

These Terms are effective upon your creation of a User account and remain in effect until terminated.

15.2 Termination by User

You may terminate these Terms at any time by deleting your account through the Zing Platform or by contacting us at hello@zingwithus.com. Termination is effective upon account deactivation.

15.3 Termination by Zing

Zing may terminate or suspend your account at any time for cause, including:

Where feasible, Zing will provide notice and an opportunity to cure before permanent termination, except in cases involving safety concerns or fraud.

15.4 Effect of Termination

Upon termination: (a) your access to the Zing Platform shall cease; (b) any pending shifts shall be cancelled; (c) you shall remain liable for outstanding amounts owed to Zing under these Terms or otherwise, including any amounts owed under alternative billing arrangements such as weekly invoicing; (d) Zing shall process payment to Teammates for all shifts completed prior to the termination date; (e) your ZingCard shall become inaccessible; (f) we shall adhere to our Privacy Policy with respect to data retention and deletion. Notwithstanding anything to the contrary in these Terms, sections 5, 6, 7, 9, 10, 11, 12, 13, 14, 15, and 16 survive termination.

16. General Provisions

16.1 Modifications

Zing may modify these Terms from time to time. Material changes will be communicated through the Zing Platform or by email at least thirty (30) days before taking effect. Your continued use of the Zing Platform after the effective date constitutes acceptance of the modified Terms.

16.2 Entire Agreement

These Terms, together with the Privacy Policy, Cancellation Policy, any applicable billing or invoicing agreements, and any other applicable service agreements, constitute the entire agreement between you and Zing regarding the Zing Platform.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.4 Assignment

You may not assign or transfer these Terms without Zing’s prior written consent. Zing may

assign these Terms to a subsidiary, affiliate, acquirer, or successor.

16.5 No Waiver

No failure or delay by Zing in exercising any right under these Terms constitutes a waiver of that right.

16.6 Communications

By using the Zing Platform, you consent to receiving communications from Zing via email, text message, push notifications, and in-app messages. You may opt out of promotional communications at any time. Opting out of operational communications (shift confirmations, cancellations, safety notices) may affect your ability to use the platform.
