1. Acceptance of Terms

By accessing or using the Zing platform ("Platform"), including the website at zingwithus.com and any associated web or mobile applications, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User") and Zing, a company incorporated and operating in Ontario, Canada. Your continued use of the Platform following any update to these Terms constitutes acceptance of the revised Terms. We will provide reasonable notice of material changes via the email associated with your account or through a notice displayed upon login.

You must be at least 18 years of age and legally permitted to work in Canada to use the Platform as a Teammate. For Spots, you must be an authorized representative of a legally registered business operating in Ontario, Canada.

2. Platform Description

Zing is a two-sided hospitality matching platform that connects restaurants and hospitality venues ("Spots") with vetted hospitality workers ("Teammates"). The Platform provides tools for shift posting, candidate assessment, matching, shift confirmation, post-shift ratings, and community recognition.

Zing is not a staffing agency, employment agency, or employer of record. Zing does not directly employ Teammates or place workers with Spots. The Platform facilitates connections between independent parties. Zing does not guarantee the quality, safety, legality, or accuracy of any Spot profile, Teammate profile, shift posting, or rating submitted by users.

All matches confirmed through the Platform result in a direct engagement between the Spot and the Teammate. Zing provides the infrastructure and assessment framework but is not party to the service agreement between a Spot and a Teammate for any individual shift.

3. User Obligations, Spots

By registering as a Spot on the Platform, you agree to the following obligations:

  • Provide accurate, truthful, and current information in your Spot profile, including cuisine type, service environment, team expectations, and dress codes
  • Post shifts only for legitimate, legal hospitality work within your registered business operation
  • Treat all confirmed Teammates with professional respect, provide a safe working environment, and comply with all applicable Ontario employment standards and workplace safety legislation
  • Pay Teammates the agreed shift rate promptly and in full, as agreed at the time of shift confirmation
  • Submit post-shift ratings honestly and in good faith, ratings must reflect genuine performance observations and must not be submitted as retaliation, coercion, or in exchange for any consideration
  • Maintain the confidentiality of Teammate profile information and not share ZingCard data outside the legitimate context of shift staffing decisions
  • Not circumvent the Platform to directly source or hire Teammates discovered through Zing without completing the applicable direct-hire process described in your subscription agreement
  • Notify Zing promptly of any safety incident, legal dispute, or conduct concern arising from a shift conducted through the Platform

4. User Obligations, Teammates

By registering as a Teammate on the Platform, you agree to the following obligations:

  • Provide accurate, truthful, and current information in your profile and THSS assessment, misrepresentation of qualifications or experience is grounds for immediate removal from the Platform
  • Accept only shifts you are genuinely available and qualified to complete
  • Attend confirmed shifts punctually and prepared, having reviewed the Spot profile and shift requirements in advance
  • Conduct yourself professionally, safely, and in accordance with the standards expected at the Spot you have been matched with
  • Notify the Platform and the Spot as early as possible in the event of a genuine emergency preventing shift attendance
  • Submit post-shift ratings of Spots honestly and in good faith, ratings submitted maliciously or in exchange for any consideration are prohibited
  • Maintain the confidentiality of any proprietary operational information encountered during shifts at Spots
  • Comply with all applicable laws regarding your work authorization, health and safety obligations, and tax responsibilities as an independent contractor

5. Payment Terms

Platform fees for Spots are charged according to the subscription and per-shift pricing model set out at zingwithus.com/pricing. Pricing is subject to change with 30 days' advance notice to active Spot accounts.

Teammate remuneration is determined by the rate agreed at the time of shift confirmation. Zing does not guarantee minimum earnings or a minimum number of shift matches for any Teammate. Rates may be negotiated between PROVEN-tier and above Teammates and Spots, subject to platform guidelines.

Teammates are responsible for their own income tax obligations arising from shift earnings. Zing will provide records of platform earnings upon request to support tax filing, but does not act as a payroll agent or withhold taxes on behalf of Teammates.

The Community Pool distribution to eligible Star-holding Spots is calculated and distributed annually at Zing's sole discretion, subject to the Community Stars program terms published on the Platform.

6. The Ratings System

The Zings rating system is a core feature of the Platform. Ratings submitted by either party following a completed shift are genuine assessments that contribute to the recipient's standing on the platform. The following rules govern all ratings:

  • Ratings must reflect genuine first-hand experience of the shift in question
  • Retaliatory, coercive, purchased, or otherwise dishonest ratings are prohibited and constitute a violation of these Terms
  • Zing reserves the right to investigate disputed ratings and, in cases of verified manipulation, to remove, adjust, or reverse ratings at its sole discretion
  • Users may not request, demand, or offer compensation in exchange for a specific rating outcome

Zing does not guarantee the accuracy of any individual rating submitted by a user. Ratings represent the opinions of the rating party and do not constitute a statement of fact by Zing. Users who believe a rating has been submitted in bad faith may submit a formal dispute through the Platform's support process.

7. Suspension and Termination

Zing reserves the right to suspend or terminate any user account at any time, with or without notice, for violation of these Terms or any conduct deemed harmful to the Platform or its community. Grounds for termination include but are not limited to:

  • Misrepresentation of identity, qualifications, or business information
  • Pattern of shift no-shows, late cancellations, or failure to meet confirmed commitments
  • Harassment, discrimination, or unsafe conduct involving any Platform user
  • Manipulation of the ratings system
  • Circumvention of Platform fees through off-platform arrangements
  • Any conduct in violation of applicable Ontario or Canadian law

You may terminate your account at any time through the Platform's account settings. Upon termination, outstanding shift obligations remain binding and outstanding payments remain due. Data retention following termination is governed by our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zing and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including but not limited to loss of revenue, loss of shifts, reputational damage, or data loss.

Zing's total liability to any user for claims arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the total fees paid by that user to Zing in the twelve months preceding the claim, or (b) one hundred Canadian dollars (CAD $100).

The Platform is provided on an "as is" and "as available" basis. Zing makes no warranties, express or implied, regarding the reliability, availability, accuracy, or fitness for purpose of the Platform or any information presented therein.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved first through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Toronto, Ontario, conducted in English under the Arbitration Act, 1991 (Ontario). Each party shall bear its own costs unless the arbitrator determines otherwise.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Toronto, Ontario to prevent irreparable harm.
